In plain words
Under the Terms, you keep the rights in your data and your setup, you set the rules and limits, and you can turn rules off or cancel any time. Nothing is sent until you go live, and every price MAYA sends for you is yours. There is no uptime guarantee and no refund for downtime, and our liability is capped at what you paid in the three months before a problem. Disputes with Modern Hospitality Solutions LLC, a Wyoming company, go to individual arbitration under Wyoming law, and a claim must be brought within one year.
This page says what the Terms mean for you, in plain words. It is a guide, not the agreement: the Terms of Service and the Privacy Policy are the documents that count, and where this page and they differ, they win. Numbers in brackets are Terms sections. Nothing here is legal advice.
Where to read them
- Terms of Service at get-maya.com/terms, version 2, effective September 28, 2026. They open with a short summary, which is a reading aid and not part of the agreement.
- Privacy Policy at get-maya.com/privacy, version 4, last updated September 28, 2026. You acknowledge it rather than agree to it, because it describes what we do with data rather than making a bargain (1.5). The Terms checkbox explains the one box you tick for both, and what is recorded when you do.
When they change. We post the new version with a new date. For an important change we tell you by email or in the app, or ask you to accept the new version. A change that is worse for you takes effect at least 15 days after we tell you, unless the law requires it sooner or it only concerns new features (18.1). Fees, brackets and plans change only with at least 30 days' warning, from your first billing period after that (7.8). If you do not accept a change, cancel before it takes effect.
Your own paperwork. A purchase order, vendor form or invoice term you send us does not change the Terms. Only a written agreement signed by an authorised officer of Modern Hospitality Solutions that says it overrides them can (1.6).
Who the agreement is with
MAYA is made by Modern Hospitality Solutions LLC, a limited liability company formed in Wyoming, USA. Its postal address is 1515 E Cesar Chavez St. Suite 100, Austin, TX 78702, and its email is info@modern-hospitality-solutions.com.
- Formal letters go by email with the words "Legal Notice" in the subject line, or by post to that address (18.2). We send ours to the email on your account, or of any Hotel Admin or General Manager of the property, or in the app. Keep those addresses current.
- Business use only. MAYA is for hotels and hospitality businesses, not consumers (1.4).
- Who is agreeing. Whoever creates the account, claims or connects a property, pays for it, or takes it live confirms they are at least 18 and can bind the business (1.3). Someone who joins by invitation agrees to follow the Terms as a user, without taking on the payment obligations.
Your prices are yours
You set it up, MAYA runs it. You write the rules and set the floors and ceilings, and MAYA applies them to your bookings. In simulation nothing is sent. Once you go live, MAYA sends the resulting prices to your property system automatically, with no further review by you or us, for as long as the property stays live (3.1). Nothing is sent to Mews yet.
Starter rules become yours too. The rules MAYA sets up from your history run in simulation so you can see what they would do. One becomes part of your setup, the same as a rule you wrote, when you approve, apply or change it, or when the property is live while it is switched on (3.2).
Going live is your confirmation. Only a General Manager or Hotel Admin can go live. Clicking the button confirms you have reviewed the property's active rules, floors and ceilings, and that you take responsibility for every price it sends (3.3). Going live shows the button and the line under it.
We do not set or watch your prices. Modern Hospitality Solutions does not set, approve, review or monitor your prices, and nothing we say is pricing, legal, tax or financial advice (3.2). The Terms ask you to check your rates in your property system and on your channels regularly, correct anything wrong, and be able to run your rates without MAYA if it is unavailable (4.4).
Floors and ceilings are your safety net. If one is missing or wrong, MAYA may send a price that is too high or too low. The Terms make no promise that anything else will catch it (4.2). Floors and ceilings shows where they are set.
Laws and contracts that apply to you are yours to follow (4.3). That includes rate parity and the other promises in your contracts with booking channels, brands, owners and lenders. It includes the rules on how prices and fees are shown. And it includes competition law: never use MAYA to share prices with a competitor or line yours up with theirs.
Stopping does not undo. Turning a rule off, going back to simulation, disconnecting, or a lapsed subscription stops new prices going out. None of them puts back earlier rates or changes rates already sent (4.5). Pausing, or going back to simulation has the ways to stop.
Who is liable if a price loses you money
In plain words, from the Terms:
- The price is your responsibility. Every price MAYA sends for you, and every booking taken at it, is yours. That includes honouring, changing or refunding a booking made at a price sent in error (4.1, 4.6).
- No promised results. We do not guarantee revenue, occupancy, bookings or any other result. Simulations, readings and explanations are estimates from past data (5).
- Some losses are never ours. We are not liable for lost revenue or for lost or underpriced bookings, whatever the cause. Nor for bookings taken at any rate, refunds or chargebacks to guests, penalties or lost ranking from a booking channel, or lost data (15.1).
- Everything else has a cap. For all claims together, our total liability is at most the fees you actually paid us in the three months before the event that led to the first claim. If you paid nothing in those three months, the cap is US$100 (15.2). The cap does not reach any liability the law says cannot be limited (15.3).
- Claims from others. If a guest, a booking channel, a brand, a regulator or anyone else makes a claim about your prices, bookings or contracts, you defend us against it. You also cover the resulting costs. That holds even where the claim says we were careless, unless a court or arbitrator finds gross negligence, fraud or wilful misconduct on our part (16).
Example: The cap at The Harbour Inn
The Harbour Inn pays $110 a month for its 20 rooms. Suppose something goes wrong in March. The most we could be liable for, for everything together, is what the Harbour Inn paid in the three months before: $330. Lost bookings and lost revenue are outside even that. During a free trial, when nothing has been paid, the cap is US$100.
An illustration with made-up numbers, not your property.
Uptime, and what happens when MAYA is down
There is no uptime guarantee. MAYA comes "as is" and "as available", with no promise that it will run without interruption (14). Support is by email, on reasonable efforts, with no promise on response times or availability unless we agree one in a signed document (3.7). Fees are not refunded for any time MAYA or your property system was unavailable (7.10). Anything free, including a trial, comes with no availability commitment at all (3.6). There is no public status page.
Your prices while MAYA is down. MAYA is not in the path of your bookings, so your property system keeps taking bookings as normal. The rates already in your system stay as they are. MAYA reverts nothing and sends nothing until it is working again.
MAYA holds old prices back. If have been failing for 30 minutes, MAYA stops sending rather than send an old number, and starts again once a run succeeds. How prices reach your property system lists this with the other reasons a price is held.
When it comes back. The next cycle reads the bookings that arrived in the meantime, runs your rules on the nights they changed (and, if the date changed while it was away, on every night of the 396-night window), and sends the prices that changed.
If you changed rates by hand meanwhile. On a night MAYA has sent to and confirmed, a rate you change in Cloudbeds or ThinkReservations an hour or more after MAYA's send is kept as a . On a night MAYA has never sent to, your rate becomes the starting point and MAYA prices on top of it. Rates you change in your property system explains both.
Your data: who owns it, and getting it back
- You keep your rights in your data (8.1): the bookings MAYA reads from your system, what you and your team type in, and your setup, meaning your rules, floors, ceilings, typed prices, room type settings and whether you are live.
- We hold a licence to use it to run, secure, support and improve MAYA, to make totals that identify nobody, to comply with the law and to enforce the Terms. The licence lasts as long as we hold the data (8.2).
- We own MAYA itself: the software, the and rule templates, these docs and the MAYA name (10.2). We also own records of how MAYA is used and the totals we make from many properties' data, which never identify you (8.6). Feedback and ideas you send us, we may use freely (10.3).
- Nothing is deleted when you leave. Your data is kept after you cancel or disconnect so you can come back without setting up again. A Hotel Admin or General Manager can ask in writing for it to be deleted, and it is, within 90 days of a verified request (8.8). Privacy, security and your data has what is kept, for how long, and what stays after deletion.
- MAYA is not a backup of your property system (8.8). Your bookings live there. MAYA's own database is backed up once a day, and each backup is kept for 7 days (8.7).
Getting a copy. There is no export in the app. Your rules and settings are on screen to copy down, and your bookings are in your own system. You can email us to ask for a copy. The Terms do not oblige us to export or return your data except where the law requires it (8.8), so we cannot promise one in every case. Where privacy law gives you a right to a copy of personal data (under the GDPR, for example), we honour verified requests as that law requires (Privacy Policy section 10).
Fees, cancelling and refunds, in brief
- Each property is its own subscription, priced per room by the bracket its room count falls into, monthly or yearly, in US dollars. Tax is extra (7.1, 7.7).
- Subscriptions renew automatically, and a free trial becomes paid unless you cancel before it ends (7.2, 7.3).
- If your system shows more rooms than you pay for, we tell you, and if the count is not put right within 7 days your bill goes up to match (7.5). Your room count explains.
- Cancel any time. It takes effect at the end of the period you have paid for, and cancelling neither disconnects your system nor deletes your data (7.9).
- No refunds, including for part of a period and for downtime. The exceptions: if we stop offering MAYA altogether, or end your agreement for our own reasons, we refund the unused part of the period you paid for (3.5, 7.10, 12.3).
- Tell us in writing within 60 days about a charge you dispute, before going to your bank (7.12).
- Overdue amounts can carry interest at 1.5% per month, or the highest rate the law allows if that is lower, plus reasonable collection costs (7.11). In practice a failed payment is retried and then MAYA stops for that property long before this matters.
What it costs and Cards, payments and invoices have the detail.
Suspension and ending the agreement
We may pause MAYA for a property, without liability, if:
- a payment is overdue;
- the Terms are broken;
- your use puts security or other people at risk;
- your property system stops MAYA's access;
- the law requires it.
We try to tell you when we can, and managing your rates in the meantime stays with you (11).
We may also end the agreement (12.3):
- for any reason, with 30 days' warning and a refund of the unused part of a paid period;
- after a breach you do not put right within 10 days of being told;
- at once, for non-payment or misuse;
- at once, on insolvency;
- at once, for a property whose system ends MAYA's access.
Disputes, and the law that applies
- Talk first. Before any claim, the side with the complaint writes to the other describing it, and both try in good faith to settle it for 30 days (17.1).
- Arbitration, not court. Anything not settled goes to binding arbitration before one arbitrator, run by the American Arbitration Association under its Commercial Arbitration Rules. The seat is Wyoming, and hearings can be held by video or on documents alone (17.2).
- Exceptions. Either side can use a small claims court. We can go to court to collect unpaid fees after 10 days' written warning. Either side can ask a court for urgent relief to protect confidential information, intellectual property or security (17.3).
- Only individual claims. No class actions, and no jury (17.4, 17.5).
- One year. A claim you have must be filed within one year of when it arose, or the shortest period the law allows if that is longer (17.6).
- Wyoming law. The Terms are governed by the laws of Wyoming and US federal law. Wyoming's state and federal courts hear anything that is not arbitrated. The UN convention on international sales of goods does not apply (17.7).
- Costs. Each side pays its own lawyers, except that you cover our costs of collecting overdue amounts (17.8).
The Standard Contractual Clauses for data from Europe are the one exception to Wyoming law: they are governed by Irish law (8.9). Privacy, security and your data explains them.
Other things people ask
How will I hear about changes to how MAYA works? Through these docs. When the way MAYA counts or prices changes, the pages that explain it change too, and each page shows under its title the date it was last updated. The Terms let us add, change or remove features at any time (3.5).
There is no release notes page yet, and MAYA sends no email about new features or changes to how rules run. Emails MAYA sends lists the seven emails it does send. Changes to the Terms and to fees come with warning, as When they change says. To ask what has changed since you last looked, email us.
Can a management company use MAYA for the hotels it runs? Yes, for the properties on your account that it manages. Reselling or passing MAYA to anyone else is not allowed (9).
What if we sell the hotel, or management changes? You stay responsible for that property's subscription and prices until you cancel it or the new operator accepts the Terms for it (18.4). You cannot hand the subscription over without our written consent. Email us before the handover.
Will you name our hotel as a customer? The Terms allow us to name you as a customer unless you ask us in writing not to (10.4). Email us and we won't.
Can we benchmark MAYA against other tools? Not without our written consent, whether or not you publish the results (9).
Does running our old revenue tool alongside MAYA in simulation count as benchmarking? No. You need no consent to keep your old tool on while MAYA is in simulation and look at what your rules would do: that is what simulation is for (3.1, 3.2). What needs our written consent first is a benchmark, performance or comparative test of MAYA, such as measuring its results against the other tool's (9). If you are not sure whether what you plan is a test, email us before you start. Switching from another revenue tool explains how the two run side by side.
